These Terms of Use and Privacy Policy constitute a public contract—a contract of public offer in accordance with Article 329 of the Civil Code of Georgia, made by the individual entrepreneur Larsson Ekaterina (TIN:304748129), legal address: Georgia, Tbilisi, Krtsanisi District, Ponichala 3 Settlement, Building 5, Entrance 2, Floor 4. All terms and conditions of this agreement are the same for all users, regardless of their status or organizational-legal form.
The Terms of Use apply to your access to and use of the https://youkeep.us website and all other products and services offered by https://youkeep.us (hereinafter referred to as "services," "service," "website," "https://youkeep.us," "we," "us," "our").
By downloading, using, viewing, submitting content, or otherwise accessing and ordering, paying for, and receiving related services, you (hereinafter referred to as "you," "your") agree to be bound by the Terms and Policies set forth below. If you do not wish to agree to all of these Terms and Policies, please discontinue using our services.
Full and unconditional acceptance of this public offer is deemed to occur upon the initiation of using the service and/or registering in the service and/or sending a personal questionnaire and/or paying for the corresponding services and/or clicking on the active button labeled "Yes, I understand and agree to the Keep Terms of Service."

Minimum age

The services on the website are available only to persons who are of legal age under the laws of the country in which they are residents or citizens and who are capable of entering into legally binding contracts under applicable law. Without limiting the foregoing, the services on the website are not intended for use by minors. If you do not meet these requirements, please do not use the services or access the website.

Any changes to these Terms and Policies will be effective immediately upon posting. Terms and Definitions

https://youkeep.us Services - refers to various services provided to you that are based on Internet technologies and offered through the https://youkeep.us website and other forms (including new ones made possible by future technological developments) that include an online service for ordering, posting, searching for related services, and performers.

• User – a natural person using the services on the website https://youkeep.us.
• Administrator – an individual entrepreneur, Larsson Ekaterina.
• Administration – employees of the Administrator who manage the website https://youkeep.us, perform technical, organizational, and other functions to ensure the functioning of the services of the website https://youkeep.us, and provide information, consulting, and other support to the website https://youkeep.us.
• Content – images, text, audio and video materials, as well as other objects of copyright and/or related rights, as well as non-copyrighted information and messages of any nature available on the website.

General Conditions

The Administrator grants the User a royalty-free, non-territorial, simple (non-exclusive), limited license to use the website https://youkeep.us and the service as a whole. The service currently does not collect, hold, or transfer payment for services ordered between Users. Clients and performers agree on the payment method and payment terms directly.
The subject of the Agreement is the provision by the Administrator to the User of access to the functional capabilities of the service, allowing interaction with the service regarding ordering, placement, and searching for relevant services and performers using the service https://youkeep.us. The Administrator may, from time to time, make appropriate changes to the cost of the services provided, exclude them, or add new ones without prior consent or notification to the User.

Registration

To receive services on the site, the User must fill out the appropriate form labeled "Contact Me," providing their email address, name, and phone number. After activating the "Send" or a similar button, the User will confirm sending their personal data to the chosen person and agree to allow us to keep and use this data in accordance with the current documents and privacy policy.
To provide services using the site, the User must fill out the appropriate form, indicating their email address and creating and confirming a password. After activating the "Register" button, the User will receive a notification of registration on the site containing an active link to confirm registration, sent to the previously specified email address. To confirm and complete the registration, the User must activate the link by clicking on it at the specified internet address. Registration on the site is also possible through the social networks presented on the site.
A performer may submit their profile for moderator review. A moderator reviews the profile information available in Keep and may approve or reject the request with a comment. An approval badge means only that this profile review has been completed; it is not a guarantee of the performer's identity, qualifications, quality of work, or payment obligations. Information submitted through the service must be true and accurate and is handled in accordance with our Privacy Policy.

Account Security

The User undertakes not to disclose to third parties the login and password specified or received at the time of registration. The User is solely responsible for all actions performed on their behalf, i.e., with their login and password. You also agree to be solely responsible for taking the necessary security measures to protect your account and personal information at https://youkeep.us. By creating an account on the Service, you agree to notify us immediately if you become aware of any unauthorized use of your account and password or any other breach of security.

Prohibited use of the site

You agree not to upload, post, email, or otherwise transmit any material that contains software viruses or any other computer code, files, or programs designed to interrupt, harm, damage, destroy, or limit the functionality of any computer software, hardware, or equipment directly or indirectly associated with the Website. You agree not to transmit or cause to be sent any advertising or marketing materials without our prior written consent, including any "junk mail," "chain letters," "spam," or any other similar solicitations. You agree not to use the services to manipulate the market.
The User is prohibited from uploading, storing, publishing, distributing, accessing, or otherwise using any information that: contains threats, discredits, insults, or defames the honor and dignity or business reputation of others, or violates the privacy of other users or third parties; violates the rights of minors; is vulgar or obscene; contains profanity; or includes pornographic images and texts or scenes of a sexual nature involving minors.
In case of violation by the User of the terms and conditions set forth in these Rules, as well as violations of the legislation of Georgia, the Administrator and/or the Administration, at their discretion, have the right to delete the User's Account without reimbursing the latter for any losses, including moral damage.

Intellectual Property Rights

Reliance on published information

The information provided on or through https://youkeep.us is for general informational purposes only. We do not guarantee the accuracy, completeness, or usefulness of this information. Your reliance on such information is solely at your own risk. We disclaim all responsibility and liability arising from the use of such material by you or any other visitor to the Website, or any person who may be informed of its contents.

You may link to our Website, provided that you do so fairly and lawfully and do not damage or take advantage of our reputation. However, you must not establish the link in such a way as to suggest any form of association or endorsement on our part without our express written consent. This includes links contained in advertisements, such as banner ads and sponsored links. We have no control over the content of these sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you choose to access any of the third-party websites linked to this Website, you do so entirely at your own risk and in accordance with the terms of use of such websites.

Limitation of Liability

We will use all reasonable efforts for the proper operation of the Website https://youkeep.us, but will not be liable to the User or third parties for direct and/or indirect damages, including lost profits or lost data, damage to honor, dignity, or goodwill, incurred in connection with the use of the Website https://youkeep.us, the inability to use it, unauthorized access to the User's communications by third parties, or the inability to obtain services, particularly in the following cases:
a) In the presence of technological malfunctions of public communication channels or loss of access to the Internet—until the malfunctions are eliminated or access is restored, respectively;
b) In the event of an equipment security breach or malfunction of the equipment (personal computer, smartphone) used by the User to receive services on the Website https://youkeep.us;
c) In the case of a technical failure of the Service and/or partial failure of the Service.
We will not be liable for any losses incurred by the User as a result of the User's failure to read or timely read the terms and conditions set forth in this agreement. You also understand and acknowledge that we cannot and do not guarantee or warrant that files available for downloading from the Internet or websites will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to meet your specific requirements for antivirus protection and accuracy of data input and output, and for maintaining a means external to our site for the recovery of any lost data.
The User agrees that the limitation of liability provisions set forth above reflect an equitable allocation of risk. To avoid any misinterpretation of the limitation of liability provisions, the parties expressly note that the User will not be denied any legal rights or entitlements that arise from the contractual relationship between the User and https://youkeep.us. The parties shall be released from liability for delay and/or partial or total failure to fulfill their obligations under this Agreement if such failure was caused by force majeure circumstances (Force Majeure), which are beyond the control of the parties and cannot be overcome by reasonable means.

Disclaimer of Warranties

The Administrator and the Service, https://youkeep.us, are not your agent or advisor and have no fiduciary relationship or obligation to you in connection with any decisions or actions taken by you using the https://youkeep.us Website and the Service generally. No communication or information provided to you by the https://youkeep.us Website or the Service is intended to be, and should not be considered or construed as, necessary and/or appropriate for you, or any other advice, unless otherwise stated in these Terms.
The Administrator and Service https://youkeep.us are not responsible for the User's failure to achieve the results expected by them, or for the inconsistency of the obtained results with the User's expectations. The Administrator and Service https://youkeep.us also do not bear responsibility for the content, reliability, and accuracy of materials published in Questionnaires and/or messages by other Users. However, we make every effort to ensure that only reliable information, including data and photos of users, is published.

Geographic Limitations

We make no representation that the Website or any content is available or appropriate outside of Georgia. Access to the Website https://youkeep.us may not be legal for certain persons or in certain countries. If you access the https://youkeep.us Website from outside of Georgia, it will be at your own initiative, and you are responsible for compliance with local laws.
Reimbursement.
You agree to indemnify and hold https://youkeep.us, its Administrator, its affiliates, licensors, service providers, and its officers, directors, employees, contractors, agents, successors, and assigns harmless from any claims, liabilities, damages, judgments, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to your violation of these Terms of Use or your use of the https://youkeep.us Website and the Service in general, including, but not limited to, any use of the content, services, etc., or your breach of these Terms of Use.

Payments between Users

Keep currently does not process payments for services, act as an escrow service, or hold funds on behalf of Clients or performers. The parties choose a payment method and settle payments directly with each other. Keep therefore cannot initiate, process, or guarantee a refund. If a disagreement arises, either party may open a dispute in the relevant order or contact support@youkeep.us. Moderation may review the information available in Keep and mark the order accordingly, but it does not transfer or return funds.

Governing law and jurisdiction

All matters relating to the https://youkeep.us Website, the Service in general, and these Terms of Use, and any dispute or claim arising out of or relating to them (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of Georgia, without giving effect to any choice or conflict of law provision or rule.
Any legal action or proceeding arising out of these Terms of Use or the https://youkeep.us Website or related parties shall be brought exclusively within Georgia, although we reserve the right to bring any action, suit, or proceeding against you for breach of these Terms of Use in your country of residence or any other appropriate country. You waive any objection to the exercise of jurisdiction over you by such courts and to proceedings in such courts.

Sanctions

You warrant that you (as an individual or representative of any legal entity) are not located in or are not a citizen of a country subject to relevant trade sanctions. You also warrant that you are not a person or entity on the relevant US, EU, or UN sanctions list, provided that such list is recognized by the Government of Georgia. If, during the term of any agreement with us, you fall under such a restriction, you undertake to notify us within 24 hours, and we shall be entitled to terminate any further obligations to you immediately and without any further liability to you (but obligations not fulfilled by you shall survive).
